Terms of Service

The short version

  • Use Invoice Link for legitimate invoicing only — no fraud, no debt collection on third-party debts, no harassment.
  • App Store and Google Play handle their own refunds; direct Stripe subscriptions get a 14-day first-time refund window.
  • The 1.0% + $0.30 platform fee per transaction on settled payments is non-refundable (same rule Stripe and PayPal use for their fees).
  • You are the Business/Controller for your customers' data; we act as your Service Provider/Processor.
  • Disputes go to AAA arbitration in Davidson County, NC — individual basis only, no class actions. You have 30 days to opt out.
  • Material changes get 30 days' notice before they take effect.

These Terms of Service ("Terms") govern your use of Invoice Link (the "Service"), operated by Sentinel Holdings Group, Inc., a North Carolina corporation ("Sentinel Holdings", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. Nothing in these Terms overrides any non-waivable right you have under applicable consumer-protection, privacy, tax, or other law in your jurisdiction.

1. The Service

Invoice Link provides invoicing, estimating, payment collection, and related business-management tools for small service businesses. The Service is provided via web applications, mobile applications (iOS and Android), and backend APIs.

2. Your account

You must provide accurate information when registering and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. You represent and warrant that you are at least 18 years old, legally authorized to operate the business you register, and have the legal capacity to enter into this Agreement.

3. Subscriptions, fees, and refunds

Invoice Link is a paid subscription service. New users get a 3-day free trial. Paid plans are billed weekly ($8.99) or annually ($299.99) through the Apple App Store or Google Play Store, or directly through our payment processor. Subscription fees are charged in advance and are non-refundable except as stated below. See our Data Processing terms in Section 5 for how we handle data about your customers.

Invoice Link charges a platform fee of 1.0% + $0.30 per transaction on payments processed through the Service. Standard processing fees from Stripe, PayPal, or other payment providers also apply and are set by those providers. In-app subscriptions are processed by Apple and Google and mediated by RevenueCat, Inc., which manages entitlements and webhook delivery on our behalf.

Itemized processor fees (informational). Payment processing fees are passed through to you by Stripe and PayPal at standard industry rates (e.g., 2.9% + $0.30 per card transaction, 0.8% ACH capped at $5, 3.49% + $0.49 PayPal). Contractors may choose to absorb these fees or pass them to their customer as a separate line item.

Auto-renewal (App Store / Google Play subscriptions)

Your subscription automatically renews at the end of each billing period (weekly or annually) at the then-current price unless you cancel at least 24 hours before the end of the current period. Payment is charged to your Apple ID or Google account at confirmation of purchase and again at each renewal. You can manage or cancel your subscription at any time:

  • iOS: Settings → [your name] → Subscriptions → Invoice Link
  • Android: Play Store → Menu → Subscriptions → Invoice Link

Deleting the app does not cancel the subscription. Cancellation takes effect at the end of the current paid period; no partial-period refunds are issued by Apple or Google.

Free trial and conversion to paid subscription

The 3-day free trial begins when you start the subscription. If you do not cancel at least 24 hours before the trial ends, your payment method will be charged the subscription price and the subscription will renew on its normal billing cycle. You can cancel at any time during the trial from your Apple ID or Google Play subscription settings without being charged.

California subscribers

Under California Business and Professions Code § 17602, California residents who subscribe while in California may cancel their auto-renewing subscription at any time by following the cancellation instructions above or by emailing support@invoicelinkapp.com.

Refunds — App Store / Google Play

Apple and Google — not Sentinel Holdings — collect and hold your subscription payment, so their refund policies apply and requests must be submitted to them. We cannot refund in-app subscriptions because we never received the funds.

  • Apple / iOS: reportaproblem.apple.com. Apple considers recent purchases case-by-case.
  • Google Play / Android: Play Store app (Menu → Subscriptions → Invoice Link → Cancel / Refund) or play.google.com. Google's 48-hour auto-refund and extended case-by-case review apply.

If the store declines and a fairness issue remains (e.g., a platform double-charge), email us — we'll review and escalate where warranted.

Refunds — direct subscriptions, platform fees, chargebacks

For subscriptions purchased directly through our website or web app (processed by Stripe), email us within 14 days of your first paid charge for a refund. We are not obligated to refund renewals or partial periods after the first 14 days; you can cancel at any time to prevent future renewals.

The 1.0% + $0.30 per-transaction platform fee on payments your customers make to you through the Service (charged on top of Stripe's or PayPal's processing fees) covers costs incurred on a transaction that actually settled. It is not refundable even if you later refund your customer or the transaction is disputed — the same rule Stripe and PayPal apply to their own processing fees. Refunds you issue to your customer come out of the gross amount; platform and processing fees are not returned. If a transaction fails or is voided before settlement, no platform fee is charged.

If your customer disputes a payment with their card issuer or bank, Stripe or PayPal handle the chargeback under their own rules, which we pass through. Chargeback fees assessed by the processor are your responsibility.

To request a refund, email support@invoicelinkapp.com with "Refund" in the subject line. Include your account email and the charge date or invoice ID. We respond within 3 business days.

4. Your content

You retain ownership of all data you submit to the Service, including customer lists, invoices, estimates, and payment records ("Your Data"). You grant Sentinel Holdings a limited, non-exclusive license to use Your Data solely to provide and improve the Service. We do not sell Your Data.

5. Data processing

Your role as Business / Controller. When you use Invoice Link to create invoices, estimates, and manage client records, you are the "Business" under the California Consumer Privacy Act (and analogous laws in other states) — and the "Controller" under GDPR and similar laws — with respect to data about your customers. You determine the purposes and means of processing.

Our role as Service Provider / Processor. Invoice Link acts as a Service Provider/Processor for customer data you upload. We process this data only to provide the Service to you, consistent with your instructions and this Agreement. We do not:

  • Sell customer data;
  • Share customer data for cross-context behavioral advertising;
  • Use customer data for our own commercial purposes; or
  • Combine customer data from different accounts for our own purposes.

Your obligations. You are responsible for:

  • Obtaining any necessary consent from your customers before uploading their data;
  • Providing required privacy notices to your customers;
  • Honoring customer requests to access, delete, or correct their data. Invoice Link provides tools in the app to help you fulfill these requests; you may also email us and we'll assist.
  • Having your own privacy policy if required by your industry or jurisdiction.

If we receive a rights request from one of your customers, we will promptly forward it to you for response. We will not independently fulfill requests about your customers' data without your direction.

Data Processing Addendum. For contractors subject to GDPR, UK DPA, or similar laws, we offer a Data Processing Addendum (DPA) available at /dpa that establishes the controller-processor relationship formally.

6. Acceptable use

You agree to use Invoice Link only for lawful business purposes. You will not use the Service, and will not permit anyone using your account to use the Service, to do any of the following:

  • Fraud. Invoice for goods or services you did not provide, cannot provide, or do not intend to provide. Impersonate another person or business. Misrepresent who you are or who you're billing on behalf of.
  • Money laundering and financial crime. Use the Service to disguise the source, nature, or ownership of funds. Structure transactions to evade reporting thresholds. Transact with individuals or entities on U.S. sanctions lists (OFAC SDN and sectoral lists).
  • Debt collection on debts you don't hold. You may invoice and collect for work you performed or agreed-upon balances your customers owe you. You may not use the Service to collect on purchased debt, assigned debt, or obligations owed to a third party. We are not a debt-collection platform and the Service is not designed for FDCPA-regulated collections activity.
  • Illegal goods or services. Invoice for anything illegal where you or your customer are located — controlled substances outside of licensed channels, firearms or ammunition outside of licensed channels, sexual services, counterfeit goods, stolen property, or anything otherwise prohibited by applicable law or by Stripe, PayPal, Apple, or Google acceptable-use policies.
  • Harassment via invoicing or reminders. Send invoices, reminders, or SMS messages to individuals who have asked you to stop, who are not actual customers, or in a pattern designed to harass, threaten, or intimidate. The reminder system is for legitimate overdue balances, not for pressure campaigns.
  • Spam. Send bulk unsolicited messages through the Service. Use invoice line-items or memo fields to deliver marketing content unrelated to the work performed. Use contact import features to upload lists you did not obtain with consent.
  • Chargeback abuse. Dispute charges in bad faith, circumvent Stripe or PayPal risk rules, or use the Service after a payment provider has terminated your account for risk reasons.
  • Security abuse. Probe, scan, or test the security of the Service beyond what is permitted by our responsible-disclosure policy. Attempt to access data belonging to other users. Circumvent rate limits, authentication, or HMAC-signed public URLs. Reverse-engineer the mobile or web applications except as permitted by law.
  • Automated abuse. Use bots, scrapers, or automated tooling to interact with the Service beyond documented APIs and normal browser or mobile use. Resell API access without written agreement.
  • Tax evasion. Knowingly misclassify income to evade tax obligations, or use the Service's records with the intent to deceive taxing authorities.

We may suspend or terminate your account, remove content, report activity to payment processors or law-enforcement authorities, and recover any losses we suffer as a result of a violation. We reserve the right to investigate suspected violations, including by reviewing account activity and contacting your customers where appropriate. We will try to give you notice and a chance to cure where the violation is not severe and not ongoing — but we are not obligated to.

7. Payment processing

Payments made by your customers are processed by third parties (Stripe, Inc. and PayPal, Inc. among others). Your use of those services is subject to their terms. Sentinel Holdings is not a party to transactions between you and your customers and does not hold or transfer funds on your behalf.

8. Termination

You may delete your account at any time from the Settings screen. You may delete your account in the app at Settings → Profile → Delete Account, or from the web at https://invoicelinkapp.com/account-deletion. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we reasonably believe your use of the Service creates legal or security risk. You may export Your Data at any time prior to account deletion.

On termination, data you control (customer data, invoices, receipts) is removed within 30 days, subject to the 7-year retention we apply to tax-relevant records under IRS guidance.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, whether express or implied, except as cannot be disclaimed under applicable law (including the Magnuson-Moss Warranty Act and state statutes). We do not warrant that the Service will be uninterrupted or error-free, or that any data will be secure against all possible threats.

10. Limitation of liability and indemnification

To the maximum extent permitted by law, Sentinel Holdings' total liability for any claim arising out of or relating to the Service will not exceed the greater of $100 or the amount you paid to us in the twelve months preceding the claim. We will not be liable for indirect, incidental, or consequential damages. The foregoing limitations do not apply to liability that cannot be limited under applicable law, including gross negligence, willful misconduct, fraud, or personal injury.

You agree to indemnify, defend, and hold harmless Sentinel Holdings Group, Inc., its officers, directors, employees, contractors, affiliates, and agents (the "Indemnified Parties") from and against any claim, demand, action, proceeding, liability, damages, loss, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service, including any content you submit or cause to be sent through the Service; (b) your breach of these Terms, including the Acceptable Use rules in Section 6 and your obligations as Business/Controller in Section 5; (c) your violation of any law or of any right of a third party — including your customers, vendors, employees, or subcontractors; (d) any dispute between you and one of your customers regarding an invoice, estimate, payment, or service you performed; and (e) any tax obligation owed by you arising from income processed through the Service.

We will notify you in writing of any claim for which we seek indemnification and cooperate reasonably with your defense. You may not settle any claim in a way that imposes obligations on the Indemnified Parties without our prior written consent. We may participate in the defense at our own expense.

11. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. Subject to the arbitration agreement in Section 13, any dispute will be resolved in the state or federal courts located in Davidson County, North Carolina.

12. Changes

We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date at the top. If we make a material change — anything that reduces your rights or expands your obligations — we will give existing users at least 30 days' advance notice in-app and by email before the change takes effect. Continued use of the Service after the change takes effect means you accept the updated Terms. If you don't accept, you can cancel your account before the effective date and we will refund any prepaid, unused subscription fees for the period after the change.

13. Dispute resolution, arbitration, and class-action waiver

Please read this section carefully. It affects your legal rights, including your right to have a court resolve your dispute.

13.1 Informal resolution first

Before filing an arbitration or lawsuit, you agree to first contact us at support@invoicelinkapp.com and describe the dispute. We will try in good faith to resolve it within 60 days. Most things can be fixed by email.

13.2 Binding arbitration

If informal resolution fails, you and Sentinel Holdings agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including their formation, performance, breach, or termination) will be resolved by binding arbitration, not in court, except as set out below. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this section.

The arbitration will be conducted by a single neutral arbitrator. The seat of arbitration is Davidson County, North Carolina. If the amount in dispute is $10,000 or less, the arbitration will be conducted by documents only unless either party requests a telephonic or in-person hearing. For larger amounts, the arbitrator may order a hearing. Each party bears its own attorneys' fees except as the AAA rules or applicable law provide otherwise.

13.3 Class-action waiver

By agreeing to arbitration, you and Sentinel Holdings Group, Inc. are each giving up the right to a jury trial and to file or participate in a class action.

You and Sentinel Holdings agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate the claims of more than one person, may not preside over any form of a representative or class proceeding, and may award relief only to the individual party seeking it and only to the extent necessary to provide relief to that party. If this class-action waiver is found to be unenforceable, then the entirety of this arbitration section will be null and void — but no other part of the Terms will be affected.

13.4 Carve-outs

Either party may (a) bring an individual action in small-claims court if the claim qualifies, and (b) seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual-property rights.

13.5 Opt-out right

You may opt out of this arbitration agreement by emailing support@invoicelinkapp.com within 30 days of first accepting these Terms. The email must include your full name, the email on your account, and the statement "I opt out of the Invoice Link arbitration agreement." Opting out does not affect any other part of these Terms.

13.6 Survival

This Section 13 survives termination of your account and termination of these Terms.

14. DMCA & copyright

We respect intellectual property rights and expect users to do the same. To submit a notice of claimed copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512), email support@invoicelinkapp.com with "DMCA Notice" in the subject line.

A valid § 512(c)(3) notice must include: (1) your signature, (2) the work allegedly infringed, (3) the material to remove and enough info for us to locate it, (4) your contact details, (5) a good-faith statement that the use is unauthorized, and (6) a statement under penalty of perjury that you are the rights-holder or authorized to act on their behalf. Users whose content is removed may submit a counter-notice under § 512(g). Knowingly false notices may be liable under § 512(f).
